KPE Solutions — Terms of Use Agreement

1. Scope of Policy
This Terms of Use Agreement ("Agreement") governs your use of all products, services, systems, and intellectual property provided by KPE Solutions LLC ("KPE Solutions", "KPE", "Company", "we", "us", or "our"). This includes — but is not limited to — digital products, automation tools, courses, memberships, consulting services, templates, tax solutions, funding strategies, and all proprietary systems such as the KPE SmartFlow™ System and future KPE Solutions offerings. By purchasing, using, or accessing any product, service, or platform from KPE Solutions, you ("Customer", "you", "your") agree to be bound by this Agreement.
2. Binding Agreement
By purchasing or using any product, service, or membership, you acknowledge that this Agreement constitutes a legally binding contract between you and KPE Solutions LLC. You agree not to dispute payments via chargebacks, payment processor claims, or reversals without first contacting KPE Solutions to attempt a good-faith resolution.
3. Product & Service Delivery
KPE Solutions delivers digital products, consulting services, automation solutions, training materials, and proprietary tools through our online platforms and systems. Delivery of digital products is typically immediate upon purchase. Consulting services, tax solutions, business funding services, and custom automations are fulfilled according to project-specific timelines. Access to some automation tools may require you to maintain and connect external, third-party account integrations (e.g., OpenAI API keys).
4. Platform Usage Policy
4.1 Hosting Fees:
All users — including free users, trial users, paid users, and community members — are required to pay ongoing KPE Solutions platform hosting fees to access and maintain workflows, bots, templates, and automation tools within the KPE SmartFlow™ System.
Hosting fees cover system infrastructure, workflow deployment, maintenance, support, and operational access.
4.2 OpenAI API Account Requirement:
After any free trial or demo period, all users must connect their own OpenAI API account to continue using hosted bots, workflows, and automation tools.
OpenAI usage fees are the sole responsibility of the user and are separate from KPE Solutions hosting fees.
4.3 System Access Fees:
Depending on your plan or membership, additional fees may apply to access premium templates, automation flows, specialized bots, or expanded systems.
Free users pay hosting fees only.
Paid users may pay both hosting fees and system access fees depending on service level.
KPE AI Community members have hosting and system access bundled into their membership.
4.4 Fair Usage:
Use of hosted bots, flows, templates, and automations is subject to reasonable daily and monthly interaction thresholds based on your service level (see Token Usage Policy).
4.5 Third-Party Integrations:
You are responsible for maintaining any required third-party accounts necessary to operate KPE systems. KPE Solutions is not liable for outages, limitations, or disruptions caused by external providers.
5. Refund Policy
Purchases of digital products, toolkits, memberships, consulting services, automation systems, and business services from KPE Solutions are non-refundable once delivered, accessed, or initiated, unless otherwise explicitly stated on a specific product page. Refund eligibility for certain service-based offers (e.g., consulting sessions, business funding facilitation, tax solutions) may be governed by individual service agreements. 6. Intellectual Property & Usage Rights
All content, frameworks, automations, training materials, templates, chatbots, and systems created by KPE Solutions LLC are the exclusive intellectual property of the Company. You are granted a non-transferable, single-business-use license. You may not copy, modify, distribute, rebrand, reproduce, share, or resell any KPE Solutions content without express written permission.
7. Account Access & Conduct
You are responsible for safeguarding your login credentials. Unauthorized sharing, duplication, deployment system abuse, cloning, or excessive automation deployment may result in suspension or termination of your access without refund. Respectful, ethical conduct is required in all KPE Solutions platforms, groups and communities.
8. Affiliate Program Terms
Participation in the KPE Affiliate Network ("KPE Affiliate Program") is subject to the following terms and policies. By joining or promoting any KPE Solutions product or service as an affiliate, you agree to the following:
- Use only KPE-approved and officially provided marketing materials
- Accurately represent all products, services, and offers — avoid exaggeration or false claims
- Do not misrepresent income potential, automation capabilities, or service results
- Disclose your affiliate relationship clearly, per FTC guidelines
- Do not bid on KPE Solutions branded keywords or use paid advertising that targets KPE Solutions trademarks without prior written permission
- Avoid spam, unethical marketing, fraud, or any deceptive practices
- Maintain the confidentiality of private affiliate materials and customer data
- Understand that affiliate participation does not guarantee earnings, and results may vary based on individual effort and marketing performance
8.1 Commission Structure and Payouts
- Commissions are paid monthly, approximately 30 days after the sale, to account for refunds, chargebacks, and customer retention
- Commission percentages and payment tiers may vary based on the product or service being promoted
- Commission duration (cookie life and eligibility window) may also be product-specific and is outlined at the time of joining a specific affiliate offer
8.2 Independent Status and Termination
- Affiliates are independent contractors and are not employees or legal representatives of KPE Solutions
- KPE Solutions reserves the right to terminate any affiliate account at its sole discretion for violation of these terms
- Unpaid commissions will be forfeited in the event of termination for policy violations
8.3 Affiliate Agreement and Disputes
- All affiliates are encouraged to review the official KPE Affiliate Agreement, which includes full details on participation requirements and program expectations
- Any disputes related to affiliate participation will be handled in accordance with the Dispute Resolution terms
8.4 Affiliate Support If you have any questions about the KPE Affiliate Program, including eligibility, commissions, or compliance requirements, please refer to Contact Information for affiliate support and assistance.
9. Vendor Terms
Vendors submitting products, services, or offers to KPE Solutions agree to: Provide accurate and lawful service fulfillment Maintain quality consistent with KPE Solutions' standards Handle their own customer service, billing, and refunds Accept revocable partnership status at KPE Solutions' discretion
10. Token Usage Policy (for KPE Systems & Future Platforms)
10.1 Overview: The KPE SmartFlow™ System and any future KPE automation tools involve usage-based access, including messaging, workflow executions, and automation interactions.
10.2 OpenAI Connection Requirement: All users must connect and maintain their own OpenAI API Key after any trial or demo period to continue accessing workflows and automation tools. All users — regardless of whether they use their own OpenAI account or other third-party tools — are required to pay KPE Solutions platform hosting fees in order to access and maintain use of KPE-hosted workflows, bots, automation templates, and systems.
Platform hosting fees cover system access, workflow deployment, maintenance, template usage, and operational support.
10.3 Hosting Subscription Requirement Access to KPE automation tools, systems, and digital services may require an active KPE Solutions hosting subscription, regardless of whether you connect your own third-party services (e.g., OpenAI). Hosting fees are separate from usage-based fees and are required to maintain access to KPE-hosted workflows, templates, bots, or system components. 10.4 Usage Limits: Interaction thresholds apply and are based on your plan tier:
Free Hosting-Only Users: Limited daily message volume Paid Users: Expanded thresholds KPE AI Community Members: Premium thresholds and upgrades
10.5 Abuse Policy: Excessive usage, system abuse, unauthorized duplication, or prohibited activities may result in restrictions, fees, or account termination.
10.6 Future Expansion: This Token Usage Policy applies to all current and future automation systems operated by KPE Solutions LLC, including AI content creation, video generation, image tools, workflow templates, and system expansions.
Section 11: Hosting Plan TermS
KPE Solutions offers optional monthly hosting services (“Hosting Plan”) to support websites, funnels, visibility systems, and automation tools. By subscribing to a Hosting Plan, you agree to the following: 11.1 Non-Refundable Billing All hosting services are prepaid and non-refundable. Once payment is processed, no refunds will be issued, regardless of system usage, technical limitations, or cancellation timing. 11.2 Recurring Subscription The Hosting Plan is a recurring monthly subscription. You authorize KPE Solutions to charge your payment method on file for each billing cycle until canceled. 11.3 Cancellation Policy You may cancel your Hosting Plan at any time by submitting a written request to [email protected]. Cancellations take effect at the end of your current billing cycle. No prorated or partial refunds will be provided. 11.4 Scope of Hosting KPE hosting includes infrastructure access, server resources, template hosting, and limited support for systems created by or licensed from KPE Solutions. Ongoing development, funnel building, or third-party app support is not included unless specifically listed in your service plan. 11.5 Suspension for Nonpayment If your hosting payment fails and is not resolved within 7 days, your account may be suspended or terminated. KPE Solutions is not liable for any loss of service, workflow access, data, or visibility caused by nonpayment or delayed cancellation. 11.6 Affiliate Referrals Hosting Plans may be eligible for referral commissions under the KPE Affiliate Program. Participation is subject to affiliate approval, program compliance, and time-limited commission eligibility.
12. Terms for Done-for-You Services and Hosting Plans ("Service Terms")
The following terms apply to custom services provided by KPE Solutions, including but not limited to the Business Showcase, visibility funnel setup, digital assets, hosting plans, and done-for-you marketing systems (collectively referred to as “Services”):
12.1 Custom and Digital Nature of Services All Services provided are custom-designed, digitally delivered, and often begin fulfillment immediately after purchase. As a result, no refunds are offered once setup has begun or digital components have been accessed or delivered.
12.2 Scope of Work Service deliverables are defined at the time of purchase and may include profile creation, funnel setup, hosting access, branded templates, or platform configuration. Ongoing edits, custom requests, or support outside the defined scope may require an additional agreement or upgrade.
12.3 Hosting Requirements Some services include or require active participation in a KPE Solutions hosting subscription. Please refer to Hosting Plan Terms for full details on billing, cancellation, and support limitations.
12.4 Delivery Timeline Timelines for service delivery vary based on scope, cooperation, and client responsiveness. KPE Solutions will make commercially reasonable efforts to deliver Services in a timely manner but does not guarantee delivery by a fixed date unless expressly agreed in writing.
12.5 Affiliate Eligibility Some Services may be commissionable under the KPE Affiliate Program. Referral commissions are subject to approval, tracking limitations, and may have duration restrictions as outlined in our Affiliate Program Policies.
13. Limitation of Liability
To the fullest extent allowed by law, KPE Solutions LLC disclaims all liability for indirect, incidental, or consequential damages. All products, services, templates, consulting, and automation tools are provided "as-is" without any guarantee of specific results.
Section 14 - GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.
